- Custom AI agents developed specifically for client become client property upon final payment
- Training data provided by client remains client property
- General AI improvements and learnings may be applied to future projects (without using client-specific data)
- Client retains rights to their business data used in AI training
7.4 Third-Party Licenses
- Some services may require third-party software licenses (including AI/ML platforms)
- Client is responsible for obtaining necessary licenses for their use
- TAG will advise on required licenses during project planning
- AI platform usage fees and API costs may apply to ongoing AI agent operations
8. CONFIDENTIALITY
8.1 Mutual Confidentiality
- Both parties agree to maintain confidentiality of sensitive business information
- Confidential information includes business strategies, financial data, customer lists, and proprietary processes
- Confidentiality obligations survive termination of services

- Client data is handled in accordance with our Privacy Policy

9. WARRANTIES AND DISCLAIMERS

10. LIMITATION OF LIABILITY
10.1 Liability Limits
- Our total liability for any claim shall not exceed the total amount paid by client for the specific service giving rise to the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for business interruption or lost profits
10.2 Exceptions
- Liability limits do not apply to gross negligence or willful misconduct
- Liability limits do not apply to violations of confidentiality
- Liability limits do not apply where prohibited by law
11. FORCE MAJEURE

12. TERMINATION

- Client may terminate services with 30 days written notice from the end of the agreed contract term, which is determined prior to engagement of both parties
- Payment is due for all work completed through termination date
- Client receives all completed work and documentation upon final payment
12.2 Termination by TAG
- We may terminate services for non-payment after 30 days written notice
- We may terminate immediately for breach of confidentiality or misuse of our intellectual property
- Upon termination, client receives all completed work upon payment of outstanding amounts
12.3 Effect of Termination
- All payment obligations survive termination
- Confidentiality obligations survive termination
- Both parties shall return confidential information upon termination
13. DISPUTE RESOLUTION
13.1 Informal Resolution
- Disputes should first be addressed through direct communication
- Both parties commit to good faith efforts to resolve issues
13.2 Mediation
- If informal resolution fails, disputes will be submitted to mediation
- Mediation costs will be shared equally between parties
