1. ACCEPTANCE OF TERMS

By accessing and using the services provided by UNPLGD LYF LLC, doing business as The Automation Guys ("TAG", "we", "us", or "our"), you ("Client", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms apply to all services including but not limited to:

5.2 Decision Making

- Provide timely feedback and approvals during development

5.3 Payment Obligations

6. PAYMENT TERMS

- TAG retains ownership of proprietary methodologies, frameworks, and general processes

- Pre-existing TAG intellectual property remains TAG property

- Generic code libraries and development tools remain TAG property

- AI models, training algorithms, and base AI frameworks remain TAG property unless specifically developed as custom solutions

7.3 AI and Machine Learning Considerations

- Custom AI agents developed specifically for client become client property upon final payment

- Training data provided by client remains client property

- General AI improvements and learnings may be applied to future projects (without using client-specific data)

- Client retains rights to their business data used in AI training

7.4 Third-Party Licenses

- Some services may require third-party software licenses (including AI/ML platforms)

- Client is responsible for obtaining necessary licenses for their use

- TAG will advise on required licenses during project planning

- AI platform usage fees and API costs may apply to ongoing AI agent operations

8. CONFIDENTIALITY

8.1 Mutual Confidentiality

- Both parties agree to maintain confidentiality of sensitive business information

- Confidential information includes business strategies, financial data, customer lists, and proprietary processes

- Confidentiality obligations survive termination of services

8.2 Data Protection

- Client data is handled in accordance with our Privacy Policy

- We implement industry-standard security measures

- Data breaches will be reported immediately upon discovery

9. WARRANTIES AND DISCLAIMERS

9.1 Service Warranties

- We warrant that services will be performed with professional skill and care

- We warrant that custom software will function substantially as specified

- We provide 90 days of support to address any defects in our work

9.2 Disclaimers

- Services are provided "as is" except for express warranties stated herein

- We do not guarantee specific business results or revenue increases

- We are not responsible for third-party service interruptions or failures

9.3 Business Results

- While we provide best practices and optimization strategies, business success depends on many factors beyond our control

- Client is responsible for their business operations and decision-making

- Past results do not guarantee future performance

9.4 AI-Specific Considerations

- AI agents are trained to perform specific functions but may not handle all edge cases perfectly

- AI performance may improve over time through continued training and optimization

- Client is responsible for monitoring AI agent interactions and ensuring compliance with their industry regulations

- We provide ongoing optimization and training but cannot guarantee specific accuracy rates for AI responses

- AI implementations require ongoing monitoring and may need adjustments based on real-world usage

10. LIMITATION OF LIABILITY

10.1 Liability Limits

- Our total liability for any claim shall not exceed the total amount paid by client for the specific service giving rise to the claim

- We are not liable for indirect, incidental, or consequential damages

- We are not liable for business interruption or lost profits

10.2 Exceptions

- Liability limits do not apply to gross negligence or willful misconduct

- Liability limits do not apply to violations of confidentiality

- Liability limits do not apply where prohibited by law

11. FORCE MAJEURE

- Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to:

- Natural disasters

- Government actions or regulations

- Internet or telecommunications failures

- Third-party service provider failures

- Pandemic or health emergencies

12. TERMINATION

12.1 Termination by Client

- Client may terminate services with 30 days written notice from the end of the agreed contract term, which is determined prior to engagement of both parties

- Payment is due for all work completed through termination date

- Client receives all completed work and documentation upon final payment

12.2 Termination by TAG

- We may terminate services for non-payment after 30 days written notice

- We may terminate immediately for breach of confidentiality or misuse of our intellectual property

- Upon termination, client receives all completed work upon payment of outstanding amounts

12.3 Effect of Termination

- All payment obligations survive termination

- Confidentiality obligations survive termination

- Both parties shall return confidential information upon termination

13. DISPUTE RESOLUTION

13.1 Informal Resolution

- Disputes should first be addressed through direct communication

- Both parties commit to good faith efforts to resolve issues

13.2 Mediation

- If informal resolution fails, disputes will be submitted to mediation

- Mediation costs will be shared equally between parties

13.3 Governing Law

- These Terms are governed by Wyoming state law

- Any legal proceedings will be conducted in Wyoming state courts or federal courts located in Wyoming

- Venue for any disputes shall be in the appropriate court in Wyoming

14. MODIFICATIONS

14.1 Terms Updates

- We may update these Terms periodically

- Changes will be posted on our website with updated date

- Continued use of services constitutes acceptance of updated Terms

14.2 Service Modifications

- We may modify or discontinue services with reasonable notice

- Material changes to ongoing services require client consent

15. GENERAL PROVISIONS

- These Terms, along with signed service agreements, constitute the entire agreement

- These Terms supersede all prior communications regarding the subject matter

- Client may not assign rights or obligations without our written consent

- We may assign our rights and obligations with reasonable notice

15.4 Notices

- All notices must be in writing and sent to designated email addresses

- Notices are effective when received

15.5 Waiver

- Failure to enforce any provision does not constitute a waiver

- Waivers must be in writing and signed by the waiving party
